One of my clients recently had a case which I am explaining below and if you are stuck in such similar situation, here is what to do.

Note: Due to attorney-client privilege, I cannot disclose complete case details or identify the actual parties involved. However, I am sharing the essential facts and legal approach so that if you find yourself in a similar situation, you can understand the available solutions and legal remedies.

TL;DR: A withheld severance pay or contractual exit payout cannot be defeated by a handful of cropped WhatsApp screenshots produced months after a clean exit. The employer has to prove a real, material breach of the non-solicitation clause before an arbitrator, and a bare denial of arbitration in a notice reply does not stop a court from appointing one when a written arbitration clause exists.

Eleven months after Nikhil Bansal cleared his desk at the Pune office, a courier envelope reached his apartment in Baner. One page. The company was holding back his exit payout of roughly ₹27 lakh.

The exit itself, back in June 2024, had been uneventful. Handover signed, full and final letter issued, no grievance raised by either side. Nikhil was a senior executive at the Indian arm of a US technology company, the kind of role where you know everyone's extension number and nobody's salary.

Then came the reason. The notice said he had breached a post-employment non-solicitation clause. Stapled behind it were screenshots of a WhatsApp conversation with a former colleague. The chat was casual. What the company had cropped out was the part where the colleague had called him first and asked for help. Nikhil had replied that a friend was hiring and he could put in a word. That was the entire "solicitation".

He served a Section 21 notice under the Arbitration and Conciliation Act, 1996. Opposing counsel replied by denying that arbitration applied at all. A Section 11 petition went to the High Court and was withdrawn with liberty to refile because of pecuniary thresholds. By then he had spent four months on his own. The client then approached the Chamber of Advocate Sudhir Rao, and the refiling was placed correctly before the District Commercial Court in Pune. Advocate Sudhir Rao's experience in arbitration and commercial disputes helped secure the order that put the client's claim back on track.

Key Facts of the Case

  • The client was a senior executive at the Indian subsidiary of a US technology company; his exit in June 2024 was clean and documented.
  • A contractually vested payout of about ₹27 lakh was withheld by the employer.
  • The withholding was communicated by a notice sent eleven months after the exit.
  • The stated ground was breach of a post-employment non-solicitation clause.
  • The only "proof" was cropped WhatsApp screenshots of a chat with a former colleague, with the portion showing the colleague's own request left out.
  • No breach notice, grievance, or disciplinary step was taken during employment or in the months that followed.
  • A Section 21 notice was served; opposing counsel flatly denied arbitration in their reply.
  • The Section 11 petition was withdrawn from the High Court with liberty to refile on pecuniary grounds; refiling is before the District Commercial Court, with the group of companies doctrine invoked to bind the US parent and its senior executives.
How do arbitrators weigh WhatsApp screenshots produced months after exit?

Badly, if they are the only thing on the table. Electronic records need a certificate under Section 63 of the Bharatiya Sakshya Adhiniyam, 2023 to be admissible in the first place, and the Supreme Court in Arjun Panditrao Khotkar v. Kailash Kushanrao Gorantyal (2020) made clear that this certificate is not a formality to be cured later. Beyond admissibility, a tribunal looks at completeness. A cropped chat that conveniently drops the colleague's own request is a document with a hole in it, and holes get questioned.

Can withheld severance pay be blocked by a cropped chat?

Not by itself. A non-solicitation clause has to be tied to a real, material breach, and the employer carries the burden of proving both the breach and the loss. A one-line offer to pass on a name is a long way from active solicitation, and it is even further from damage.

Is a blanket denial of arbitration in a notice reply the end of the road?

No. Denial in correspondence is posturing. What matters is the written arbitration clause, and once that exists, the court's role at the appointment stage is narrow.

Advice in Such Cases

Consult with Lawyer: The very basic and important step to start is talk to Lawyer / advocate. You should not hesitate in paying his consultation fee i.e. might be in range of Rs. 10,000 to 50,000 depends case to case. He is helping you in this situation to come out. He is expert in the domain and can help you explain the procedure which you might have never explored. A good lawyer can get the issues resolved much faster than you think.

Second, send the invocation notice early and keep proof of service. Third, get your exit documents, the employment contract and the arbitration clause in one file before you file anything. Fourth, do not reply to the company's HR or legal team on WhatsApp or email; route every communication through counsel.

And here's the thing, matters like this turn on procedural and evidentiary nuances that a general practitioner may not handle often. The forum, the pecuniary threshold, the seat of arbitration, the certificate for electronic records. Advocates who regularly work in commercial arbitration tend to move faster and make fewer corrections later.

Applicable Sections of Law

The governing statute is the Arbitration and Conciliation Act, 1996. Section 7 covers the arbitration agreement, Section 21 marks the commencement of arbitral proceedings, Section 11 deals with the appointment of arbitrators, and Section 16 lets the tribunal rule on its own jurisdiction, including objections that it has none.

The underlying claim sits in contract. Section 27 of the Indian Contract Act, 1872 makes agreements in restraint of trade void, which is why post-employment restraints are read narrowly. Section 73 deals with compensation for loss caused by breach, and the employer must actually prove that loss.

Evidence of the chat is governed by Section 63 of the Bharatiya Sakshya Adhiniyam, 2023. The Commercial Courts Act, 2015 fixes which commercial court hears the matter and which court hears the Section 11 application.

Jurisdiction — Where to File the Case

Two questions decide this. Where is the seat of arbitration, and what is the value of the claim?

The seat determines which court supervises the arbitration. Under the Commercial Courts Act, 2015, arbitration matters are heard by the Commercial Division of a High Court or by a Commercial Court at the district level, depending on the specified value of the dispute. Below the threshold, the Section 11 application goes to the district Commercial Court; above it, to the High Court. That is exactly why the client's first petition in the High Court was withdrawn with liberty to refile.

Territorial jurisdiction follows the seat agreed in the contract, or the place where the cause of action arose. Getting this wrong costs months, as this client found out.

Limitation Period

Section 43 of the Arbitration and Conciliation Act, 1996 makes the Limitation Act, 1963 apply to arbitrations as it applies to court proceedings. For a claim that money is due under a contract, the usual period is three years under Article 55 of the Limitation Act, counted from the date the payment was refused or the breach occurred.

Two practical points. First, a Section 11 application has no fixed limitation period, but courts expect it to be filed within a reasonable time; long sleeps invite objections. Second, serving the Section 21 notice fixes the date of commencement, which matters if the other side later argues that a claim has gone stale.

Interim Reliefs Available

Under Section 9 of the Arbitration and Conciliation Act, 1996, a party can approach the court before or during arbitration for interim protection. In a money claim like this, the realistic ask is not immediate payment but securing the fund, so that the award, when it comes, is not a paper victory.

Where the employer is a foreign parent with assets, the application usually focuses on safeguarding the amount, and courts do look at whether the respondent is trying to dispose of assets. Order 38 Rule 5 of the CPC allows attachment before judgment in narrow circumstances. Injunctions against further use of the disputed material, and confidentiality directions over the chat records, are also common.

Interim relief is worth moving on early. Delay is read as a sign that you were not really worried.

If You Are the Victim

  • Send a written invocation notice under Section 21 of the Arbitration and Conciliation Act, 1996, and preserve the proof of dispatch and delivery.
  • Ask for the withheld amount with interest, and name every respondent you want bound, including the parent entity if it exercised control.
  • Do not engage with the employer's HR or in-house team directly after the dispute starts.
  • Secure the original contract, the exit documents and a complete, uncropped copy of every chat or email you intend to rely on.
  • Move the Section 11 application in the correct forum without waiting for the company to "reconsider".

Documents You Must Keep Ready

  • Aadhaar and PAN for identity and KYC purposes.
  • The employment contract, including the arbitration clause and the non-solicitation clause.
  • The exit or full and final settlement letter, and the resignation acceptance.
  • Salary slips, bank statements and Form 16 showing the payout was vested and earned.
  • The employer's notice withholding payment, with the courier envelope or email headers.
  • Complete WhatsApp exports of the chat in question, with the date and time stamps visible.
  • Call detail records for the period around the exchange.
  • Appointment and shareholding records of the parent entity, if you want it bound.

What Evidence Is Required?

  • The arbitration agreement itself, as primary evidence, since everything else depends on it.
  • The employment contract and any severance or exit policy, again in original.
  • A certificate under Section 63 of the Bharatiya Sakshya Adhiniyam, 2023 for each electronic record you rely on.
  • The full chat export, not a screenshot, so the tribunal can see what the employer left out.
  • Bank statements and the settlement computation to prove the amount and that it had vested.
  • Correspondence showing that no grievance was raised during employment or after it.
  • Where the parent company is to be bound, documents showing control over the subsidiary's operations.

Primary evidence of the chat means the device or the certified export. A printout handed across the table is secondary, and it invites an objection.

How Courts Typically Approach Such Cases

At the Section 11 stage, the court is not deciding whether solicitation happened. That is the arbitrator's job. The court checks whether there is a written arbitration agreement, whether the dispute falls within it, and whether the parties are before the right forum.

Denials in correspondence carry little weight at this stage. What does carry weight is a clause that is clear about the seat, the number of arbitrators and the appointment mechanism. Where the group of companies doctrine is raised, as the client did, the court looks at whether the non-signatory's conduct shows consent to be bound. The Supreme Court's Constitution Bench in Cox and Kings Ltd. v. SAP India Pvt. Ltd. (2023) laid down that framework, and it is fact-heavy rather than automatic.

  • Invocation notice: served on the respondent, often with a 15 to 30 day window. Two to four weeks.
  • Section 11 application: filed before the correct commercial court. Six weeks to several months for a hearing and order appointing the arbitrator, depending on the docket. An order under Section 11 is final, and Section 11(7) shuts the door on an appeal, including a Letters Patent appeal; the only route left after a wrong order is a petition under Article 136 of the Constitution.
  • Statement of claim and reply: pleadings before the tribunal, usually three to six months once the first procedural order is passed.
  • Evidence: documents, Section 63 certificates, and cross-examination of witnesses. Six to twelve months, sometimes more if the parent company is a party.
  • Final arguments and award: Section 29A of the Act gives the tribunal twelve months from the date pleadings close to pass the award, extendable by consent or by court order.
  • Challenge to the award: Section 34 gives three months from the date of receipt, extendable by thirty days on sufficient cause, and no more.

Add the two months already burned in the wrong forum and the realistic range for a money claim like this is twelve to twenty-four months from the first notice. Anyone promising a faster award is guessing.

What It Costs

Three heads of expense, and only one of them is predictable.

  • Court fee: on a Section 11 application, this is usually ad valorem on the claim value or a fixed slab, depending on the state and the forum. It is a real number and you should know it before you file.
  • Arbitrator's fee: for ad hoc arbitrations, fees are often fixed by reference to the Fourth Schedule to the Act, which the courts have treated as a guide rather than a rigid ceiling. Institutional arbitration charges per its own rules, and the amounts are higher.
  • Counsel's fee: depends on the value of the claim and the number of hearings. Ask for a written estimate at the outset, including what happens if the matter goes to a Section 34 challenge.

Two things are recoverable in principle and slow in practice: interest on the withheld amount, which the tribunal can award under Section 31(7) of the Act, and costs, which the tribunal has discretion to award.

Frequently Asked Questions

Can my employer withhold my full and final settlement in India?

Only if a contract clause or a lawful deduction permits it. Salary and exit benefits that have already vested are a debt owed to you, and the employer withholding them needs a justification it can actually prove. A bare allegation of breach, raised for the first time eleven months later, is thin ground. Note the distinction between a vested amount and a discretionary payment, such as a bonus the employer may or may not declare. The first is recoverable; the second is much harder.

Do cropped WhatsApp screenshots prove a breach of a non-solicitation clause?

Rarely on their own. The employer has to prove a material breach and the loss flowing from it. A tribunal also reads the record as a whole. If the colleague approached you first and your reply was to pass on a name, the employer's case on solicitation weakens considerably. Add the Section 63 certificate problem and a screenshot-only case has two hurdles, not one.

The company denied arbitration in its reply. Does that end the matter?

No. What the reply does is force you to move the court under Section 11 rather than wait for the company to come around. The court at that stage checks the existence of a written arbitration agreement and whether the dispute falls within it. It does not decide who is right about solicitation. Once the arbitrator is appointed, the company can still raise a jurisdictional objection under Section 16, and the tribunal decides it.

Do I file the Section 11 petition in the High Court or the district Commercial Court?

It turns on the specified value of the commercial dispute and on the seat of arbitration. Above the threshold, the application goes to the High Court; below it, to the commercial court at the district level. This is exactly the trap that cost the client here four months and a withdrawal. Check the current threshold and the seat clause before you draft anything.

How long do I have to claim withheld salary or exit money?

Three years under the Limitation Act, 1963, usually counted from the date payment was refused. There is no fixed limitation for a Section 11 application, but courts expect it within a reasonable time, and a long unexplained delay gives the other side something to argue. Serve the Section 21 notice early, because that date fixes when your claim commenced.

Can I make the foreign parent company a party to the arbitration?

Sometimes. The group of companies doctrine can bind a non-signatory, but it is a fact-heavy exercise. What the court looks at is whether the parent's conduct shows it consented to be bound, or whether it exercised such control over the subsidiary that the two were a single economic unit. Mere shareholding is not enough. Practically, joining the parent matters most when the Indian entity's balance sheet is thin and you need assets to enforce against.

Can I get the court to secure the withheld amount before the award?

You can ask. Section 9 of the Act allows an application before or during arbitration for interim protection. In a money claim the realistic relief is securing the fund rather than immediate payment, and courts are cautious. An early application helps; a late one reads as an afterthought.

Do I need a certificate for my own WhatsApp chats?

Yes, if you are producing them as electronic records. Section 63 of the Bharatiya Sakshya Adhiniyam, 2023 requires the certificate, and the courts have held it is not a formality that can be cured at the end of the trial. Keep the phone or the unedited export available. Produce the full chat, not the flattering half of it.

One limit worth stating plainly. If your contract also carries a surviving non-compete or a confidentiality clause, and the company can show you took client lists or pricing data, the analysis changes. On the facts as they stand here, the employer's material is thin. That does not mean the money arrives next month; it means the road runs through an arbitrator and takes time.

What to Do Next

Gather three things before you write to anyone: the employer's notice withholding payment, with the date on it and the courier or email proof of receipt; the employment contract, open at the arbitration and non-solicitation clauses; and a complete, unedited export of the chat the employer is relying on. Put a two-line note on top saying what happened and when the money was due. That is enough for a first read.

Send it through the contact page, or use the booking link if you would rather fix a time to speak. If the notice is recent, say so, because the clock on your Section 21 notice and the choice of forum both move from that date.
